Description of the Service
Prime Ads (“Prime Ads,” “we,” “us,” or “our”) provides a performance advertising suite designed for online merchants and marketing operators. Our services include AI-powered advertising compliance pre-check tooling, campaign hierarchy creation, ad account connectivity, and a first-party tracking pixel solution that integrates with Shopify stores to measure and attribute customer conversion actions.
These Terms of Service (“Terms”) form a legally binding agreement between Prime Ads (WCATFM LLC, a Wyoming limited liability company, “Prime Ads”, “we”, “us”) and the individual or entity registering for or accessing our platform (“Merchant,” “Client,” or “You”).
Eligibility & Account Setup
To access the Prime Ads platform and utilize our Shopify application:
- You must be at least 18 years of age or the age of legal majority in your jurisdiction.
- You must have the authority to bind the commercial entity or merchant business on whose behalf you are acting.
- You must hold an active, verified Prime Ads client account in good standing.
- You agree to provide accurate, truthful, and complete business information during registration and keep your account details current.
You are responsible for maintaining the confidentiality of your account credentials, password, and session access. You agree to immediately notify Prime Ads of any unauthorized use of your account or security breach.
The Free Shopify App vs. The Paid Prime Ads Service
Please note the fundamental operational distinction between our Shopify application and our core advertising platform:
The Prime Ads Shopify app is free to install from the Shopify App Store. The app functions exclusively as a one-click bridge to connect your verified Prime Ads account and automatically inject your unique tracking pixel onto your store. Installing the app does not incur any hidden setup charges or automatic Shopify App billing fees.
However, the app is built strictly for existing Prime Ads clients. Full access to the Prime Ads advertising platform, pre-checked ad accounts, automated campaign publishing, AI creative workflows, and dedicated ad budget allocations requires an active paid subscription or prepaid advertising agreement directly with Prime Ads. Installing the Shopify app does not grant complimentary advertising spend or unbilled platform access.
User Obligations & Compliance
As a merchant utilizing Prime Ads and our tracking pixel, you represent and warrant that:
- Legal and Regulatory Compliance: You comply with all applicable local, national, and international laws, including consumer protection laws, e-commerce regulations, and privacy statutes (such as GDPR, UK GDPR, and CCPA/CPRA).
- Consent and Transparency: You maintain an easily accessible, transparent privacy policy on your online store and obtain all legally required consents from site visitors before tracking technologies, cookies, or conversion pixels are fired.
- Advertising Platform Standards: All advertising creatives, landing pages, claims, and products promoted through your Prime Ads workspace strictly adhere to the policies and community guidelines of supported advertising channels (including Meta Advertising Standards and TikTok Advertising Guidelines).
- Data Accuracy: You will not deliberately transmit fraudulent, duplicated, or falsified purchase data or conversion values into the tracking system.
Acceptable Use Policy
You agree not to engage in, facilitate, or promote any of the following prohibited activities:
- Selling, advertising, or marketing illegal goods, controlled substances, counterfeit merchandise, or unauthorized replicas.
- Operating deceptive schemes, predatory financial products, phishing mechanisms, or fraudulent business models.
- Reverse-engineering, decompiling, disassembling, or extracting the source code of the Prime Ads platform, pre-check engine, or tracking scripts.
- Circumventing rate limits, authentication barriers, or security controls implemented across our APIs.
- Using the platform or tracking pixel to distribute malicious code, viruses, spyware, or harmful automated scripts.
- Interfering with or disrupting the integrity, performance, or operational availability of our servers and networks.
Intellectual Property Rights
Prime Ads Property: All software, algorithms, user interface designs, AI pre-check models, documentation, logos, trademarks, and technological components comprising the Prime Ads platform and Shopify app are and remain the exclusive property of Prime Ads and its licensors. Except for the limited, non-exclusive, revocable license to access the platform during your active subscription, no rights or licenses are granted to you.
Merchant Content: You retain full ownership of all logos, product imagery, marketing copy, and proprietary branding uploaded to the platform (“Merchant Content”). You grant Prime Ads a worldwide, royalty-free license to use, display, and process your Merchant Content solely as necessary to render the services and deliver your advertising campaigns.
Limitation of Liability & Disclaimers
THE PRIME ADS PLATFORM, SHOPIFY EXTENSION, PRE-CHECK ENGINE, AND TRACKING SCRIPTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PRIME ADS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, PRIME ADS DOES NOT GUARANTEE SPECIFIC ADVERTISING RESULTS, CONVERSION RATES, RETURN ON AD SPEND (ROAS), OR THAT THIRD-PARTY AD NETWORKS WILL NOT REJECT, PAUSE, OR RESTRICT YOUR ADVERTISING ACCOUNTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIME ADS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO PRIME ADS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Termination & Suspension
By the Merchant: You may discontinue using the Shopify app at any time by disconnecting the integration in your Prime Ads dashboard or uninstalling the app from your Shopify store. To close your Prime Ads account entirely, you may contact our customer support.
By Prime Ads: We reserve the right to suspend or terminate your account and revoke API access immediately and without prior notice in the event of:
- A material breach of these Terms, our Acceptable Use Policy, or third-party ad network standards;
- Failure to fulfill financial commitments or maintain an active billing status;
- Actions that threaten the security, compliance, or operational integrity of the platform or other merchants.
Upon termination, all licenses granted under these Terms immediately cease, and you must discontinue all use of the platform and remove the tracking pixel from your storefront.
Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any principles of conflicts of law.
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute informally by submitting a written summary of the claim to legal@prime-ads.ai. If unresolved within thirty (30) days, the dispute shall be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution (ICDR) of the American Arbitration Association, seated in Cheyenne, Wyoming, United States.
Changes to Terms
We reserve the right to update or modify these Terms at any time to reflect operational, legal, or regulatory updates. When changes are published, we will revise the “Last updated” date at the top of this document. In the case of material changes, we will provide reasonable advance notice via your account dashboard or by email. Your continued use of Prime Ads following the effective date of updated Terms constitutes your binding acceptance of the changes.
Data Processing (Shopify Tracking Pixel)
This section summarizes how storefront and conversion data is processed when you use the Prime Ads Shopify app and tracking pixel. It is consistent with our Privacy Policy.
- Roles: For end-customer behavioral and conversion data from your storefront, you (the Merchant) are the Data Controller. Prime Ads (WCATFM LLC) acts as your Data Processor (or Service Provider under applicable US privacy laws), processing that data only to provide the tracking and attribution services you configure.
- Data processed: Commercial event metrics (event name, order ID, value, currency), page URL, referrer, and timestamps. The Shopify Web Pixel does not collect or store customer email, phone, name, postal address, or Shopify customer IDs. IP address and user agent are processed server-side for rate limiting and, when Co-op is enabled for your workspace, for Meta Conversions API forwarding — not as customer-level records tied to a Shopify customer identity. App scopes are limited to
write_pixels,read_pixels, andread_customer_events. - Retention: Event telemetry is retained for a maximum of ninety (90) days and then automatically purged.
- Deletion on uninstall: On
app/uninstalledorshop/redact, we delete Shopify-sourced data for that shop (integration tokens, Shopify pixel flags for that shop URL, pending install state, and Co-op events whose page URL references that shop). Other non-Shopify Co-op telemetry in your workspace is not wiped by Shopify uninstall alone. - Security measures: Transport over HTTPS/TLS; Shopify OAuth access tokens encrypted at rest; HMAC verification of mandatory compliance webhooks; least-privilege API scopes; isolated Shopify Web Pixel runtime with Customer Privacy API compliance.
- Subprocessors (by category): Cloud hosting and serverless execution; managed database and authentication; content delivery / edge networking; transactional email delivery; and advertising platforms you designate (for example Meta) when conversion forwarding is enabled. Categories align with the recipients described in the Privacy Policy.
